GeneDx has announced plans to acquire Fabric Genomics, a company specializing in AI-based genomic interpretation, in a move aimed at expanding the reach and flexibility of clinical genomics. The acquisition, expected to close in Q2 2025, is valued at up to $51 million depending on milestone achievements.

The integration brings together GeneDx’s rare disease dataset—built from over 750,000 exomes and genomes—and Fabric’s cloud-native interpretation platform, which has been deployed across major health systems for diagnostic support. The combined entity will support both centralized sequencing through GeneDx’s labs and decentralized models where hospitals and partners perform sequencing locally but access interpretation-as-a-service through Fabric’s infrastructure.

The companies highlight use cases including neonatal intensive care unit (NICU) genomic testing, genomic newborn screening, and clinical genomics in regions with data sovereignty requirements. The Fabric platform enables GeneDx to offer interpretation services globally through flexible delivery models, including SaaS and embedded tools for local lab networks.

At closing, Fabric Genomics will continue to operate independently, with support from GeneDx to scale its commercial footprint.

The acquisition is framed as part of GeneDx’s broader effort to lead the next phase of genomic medicine—one centered around decentralized infrastructure, scalable interpretation, and earlier genetic diagnoses.
